OVERVIEW

Welcome to Horseman’s Gravity Latch. The terms “we,” “us,” and “our” refer to Horseman’s Gravity Latch. We operate this website and store, including the information, content, features, tools, products, and related services made available through it (collectively, the “Services”). Our store is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service (“Terms”), together with the policies referenced in them, describe your rights and responsibilities when you access or use the Services or purchase our products. Please read them carefully. They include important provisions concerning product use, warranty disclaimers, and limitations of liability.

By accessing or using the Services or placing an order, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

SECTION 1 — ELIGIBILITY, ACCESS, AND ACCOUNTS

By using the Services, you represent that you are at least the age of majority in your state, province, or country of residence, or that you have the consent of a parent or legal guardian.

You may be asked to provide information such as your name, email address, billing information, payment information, and shipping address. You represent that the information you provide is accurate, current, and complete and that you have the right to provide it.

You are responsible for safeguarding your account credentials and for activity conducted through your account. You may not transfer, sell, assign, or license your account to another person.

SECTION 2 — PRODUCTS, COMPATIBILITY, AND SAFE USE

We make reasonable efforts to describe and display our products accurately. However, colors, finishes, dimensions, and appearance may vary slightly because of manufacturing tolerances, device displays, photography, or product updates. Product descriptions, specifications, prices, and availability may change without notice. We may discontinue products or limit quantities at any time.

Before purchasing, you are responsible for reviewing the product specifications, measurements, installation requirements, and instructions and confirming that the product is appropriate for your gate and intended use.

Horseman’s Gravity Latch is gate hardware and must be installed, inspected, maintained, and used properly. Installation may require measuring, drilling, cutting, power tools, and other potentially hazardous work. Follow all provided instructions and warnings and use appropriate tools and protective equipment. If you are not qualified or comfortable performing the installation, use a qualified installer.

After installation, periodically inspect the latch, mounting hardware, gate, hinges, posts, and surrounding components. Tighten, repair, or replace loose, worn, damaged, corroded, or altered components before continued use. Do not use the product if it appears damaged, improperly installed, or insecure.

The product does not replace appropriate gate maintenance, animal supervision, fencing, or other safety and security measures. You are responsible for determining whether additional safeguards are necessary for your animals, property, and circumstances. Modifying the product or using it contrary to the instructions may affect performance and may void any applicable written warranty.

SECTION 3 — ORDERS, CANCELLATIONS, AND FINAL SALE

Placing an order is an offer to purchase. We may accept, decline, limit, or cancel an order for reasons including product availability, suspected fraud, pricing or listing errors, shipping restrictions, or unauthorized resale. Your order is accepted when we send an order confirmation or otherwise confirm acceptance after payment has been authorized or processed.

Please review your order carefully before submitting it. We may be unable to change or cancel an order after it has been accepted or entered fulfillment.

All sales are final. We do not accept returns or exchanges except for damaged, defective, or incorrect items or where required by applicable law. Additional details are provided in our Refund Policy, which is incorporated into these Terms.

Products may be purchased for personal, agricultural, ranch, farm, or other legitimate business use. Unless we have expressly authorized it or entered into a separate wholesale or retailer agreement with you, you may not purchase products for resale or unlawful export.

SECTION 4 — PRICES, TAXES, AND BILLING

Prices, discounts, and promotions are subject to change without notice. The price charged will be the price in effect when your order is placed, as shown in your order confirmation. Unless expressly stated otherwise, prices do not include shipping, handling, taxes, duties, customs fees, or import charges.

Promotions may have separate terms. If promotional terms conflict with these Terms, the promotional terms govern for that promotion.

You agree to provide current, complete, and accurate purchase, payment, and account information. You represent that you are authorized to use the payment method submitted and agree to pay all authorized charges, including applicable shipping charges and taxes.

SECTION 5 — SHIPPING AND DELIVERY

Delivery dates are estimates and are not guaranteed. We are not responsible for delays caused by carriers, weather, customs processing, incorrect or incomplete delivery information supplied by the customer, or events outside our reasonable control.

Unless applicable law provides otherwise, risk of loss passes to you when the order is delivered to the shipping address you provided. If your order arrives damaged, defective, or incorrect, follow the process in our Refund Policy. International customers are responsible for applicable customs duties, taxes, import fees, and compliance with local import requirements unless we state otherwise.

SECTION 6 — INTELLECTUAL PROPERTY

The Services—including our trademarks, trade names, logos, product designs, text, images, graphics, videos, audio, and the selection and arrangement of content—are owned by Horseman’s Gravity Latch, its affiliates, or its licensors and are protected by applicable intellectual property laws.

We grant you a limited, revocable, nonexclusive, nontransferable right to access and use the Services for lawful personal or internal business purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display, republish, download, store, transmit, sell, or commercially exploit material from the Services without our prior written permission, except as permitted by law.

Horseman’s Gravity Latch names, logos, product names, designs, and slogans are trademarks of Horseman’s Gravity Latch or its licensors. Shopify’s names and marks belong to Shopify. Other names and marks belong to their respective owners.

SECTION 7 — OPTIONAL AND THIRD-PARTY TOOLS

We may provide access to tools, integrations, or functionality supplied by third parties that we do not control. These tools are provided “as is” and “as available,” without endorsement or warranties from us. Your use of them is at your own risk and may be subject to the third party’s terms and policies.

We may add new features, tools, or resources to the Services. Unless stated otherwise, they will be part of the Services and subject to these Terms.

SECTION 8 — THIRD-PARTY LINKS AND SERVICES

The Services may contain links to or materials from third-party websites and services. We do not control or warrant their content, accuracy, availability, security, products, or practices. If you access or transact with a third party, you do so at your own risk and should review its terms and policies. Questions or claims concerning third-party products or services should be directed to the applicable third party.

SECTION 9 — RELATIONSHIP WITH SHOPIFY

Horseman’s Gravity Latch is powered by Shopify, but purchases from our store are made directly from Horseman’s Gravity Latch. Shopify is not the seller and is not responsible for our products, fulfillment, customer service, or transactions. To the fullest extent permitted by law, you release Shopify and its affiliates from claims arising from or related to purchases or transactions with Horseman’s Gravity Latch.

SECTION 10 — PRIVACY

Personal information collected through the Services is handled according to our Privacy Policy. Certain information may also be processed by Shopify according to Shopify’s Privacy Policy.

Because Shopify hosts the Services, information you submit may be transmitted to and processed by Shopify and other service providers, including providers located outside your state, province, or country. Review our Privacy Policy for more information.

SECTION 11 — FEEDBACK, REVIEWS, AND USER CONTENT

If you submit ideas, suggestions, feedback, reviews, photos, videos, proposals, or other content (“Feedback”), you grant us a perpetual, worldwide, nonexclusive, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display that Feedback in any medium for purposes including operating, improving, and promoting the Services.

You represent that you own or have the rights necessary to submit the Feedback; that you have disclosed any compensation or incentive connected to it; and that it does not violate any law or another person’s intellectual property, privacy, publicity, or other rights. You may not submit unlawful, abusive, defamatory, obscene, misleading, malicious, or malware-containing material or impersonate another person.

We are not obligated to keep Feedback confidential, compensate you, or respond to it. We may monitor, edit, or remove Feedback at our discretion, but we are not obligated to do so.

SECTION 12 — ERRORS, INACCURACIES, AND OMISSIONS

Information on the Services may occasionally contain typographical errors, inaccuracies, or omissions concerning product descriptions, specifications, pricing, promotions, shipping charges, delivery estimates, or availability. We may correct or update information and may cancel affected orders at any time, including after an order is submitted. If we cancel an order after payment has been collected, we will refund the amount charged for the canceled portion.

SECTION 13 — PROHIBITED USES

You may use the Services only for lawful purposes. You may not use them to violate laws or the rights of others; infringe intellectual property; harass, defame, threaten, or harm another person; transmit false or misleading information; distribute spam or malicious code; impersonate another person or entity; collect personal information without authorization; interfere with the security or operation of the Services; bypass access restrictions; scrape or extract data without permission; or reproduce, sell, resell, or exploit any portion of the Services without authorization.

We may suspend or terminate access if we reasonably believe you have violated these Terms.

SECTION 14 — AUTOMATED ACCESS AND AGENTS

You may not use bots, scrapers, autonomous or semi-autonomous agents, or other automated systems to access or interact with the Services in a manner that conceals the automated nature of the access, circumvents technical restrictions or CAPTCHAs, disrupts the Services, creates an unreasonable load, or violates these Terms or applicable law.

We may limit or block automated access at any time. Any permitted automated system must identify itself accurately and comply with our technical instructions and restrictions.

SECTION 15 — TERMINATION

We may suspend or terminate your access to the Services if you violate these Terms, create risk or possible legal exposure, or misuse the Services. You remain responsible for amounts owed for orders placed before termination.

Provisions that by their nature should survive termination—including those concerning intellectual property, Feedback, disclaimers, liability, indemnification, governing law, and accrued payment obligations—will survive.

SECTION 16 — LIMITED LIFETIME WARRANTY AND WARRANTY DISCLAIMERS

Limited Lifetime Warranty

Horseman’s Gravity Latch warrants to the original purchaser that the Horseman’s Gravity Latch product will be free from defects in materials and workmanship for as long as the original purchaser owns the product. This warranty is nontransferable.

If we determine that a valid warranty claim exists, Horseman’s Gravity Latch will, at its option, repair or replace the defective product. A replacement may be the same product or a functionally equivalent product if the original is no longer available.

This warranty does not cover normal wear; cosmetic changes that do not affect function; improper installation or maintenance; misuse, abuse, or neglect; modification or unauthorized repair; accidents; use contrary to the product instructions; damage caused by a gate, hinges, posts, or surrounding components; or labor, removal, and reinstallation costs.

To submit a warranty claim, contact horsemansgravitylatch@gmail.com with proof of purchase, a description of the issue, and photos or other reasonably requested information. Do not ship the product to us unless instructed to do so. For an approved warranty claim, Horseman’s Gravity Latch will provide shipping instructions and pay reasonable standard shipping charges required to return the product and deliver the repaired or replacement product. Customers remain responsible for any customs duties, taxes, or import fees unless applicable law requires otherwise.

This Limited Lifetime Warranty gives you specific legal rights, and you may have additional rights that vary by jurisdiction. It does not limit any rights or remedies that cannot be waived under applicable law.

Warranty Disclaimers

Information provided through the Services is for general informational purposes and is not professional engineering, installation, animal-control, or safety advice. You are responsible for evaluating your property, gate, installation conditions, and intended use.

TO THE FULLEST EXTENT PERMITTED BY LAW, ANY IMPLIED WARRANTY APPLICABLE TO A PRODUCT IS LIMITED IN DURATION TO THE DURATION OF THE LIMITED LIFETIME WARRANTY ABOVE. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON THE DURATION OF IMPLIED WARRANTIES, SO THIS LIMITATION MAY NOT APPLY TO YOU.

EXCEPT AS EXPRESSLY PROVIDED IN THE LIMITED LIFETIME WARRANTY AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT EXPRESS OR IMPLIED WARRANTIES OR CONDITIONS, INCLUDING WARRANTIES OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. NOTHING IN THESE TERMS LIMITS RIGHTS OR REMEDIES THAT CANNOT BE WAIVED UNDER APPLICABLE LAW.

SECTION 17 — LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, HORSEMAN’S GRAVITY LATCH AND ITS OWNERS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, OR REPLACEMENT COSTS, ARISING FROM OR RELATED TO THE SERVICES OR PRODUCTS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR A CLAIM ARISING FROM OR RELATED TO A PRODUCT OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM.

THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED. BECAUSE SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SOME OF THE ABOVE MAY NOT APPLY TO YOU.

SECTION 18 — INDEMNIFICATION

To the extent permitted by law, you agree to indemnify, defend, and hold harmless Horseman’s Gravity Latch, Shopify, and their respective affiliates, owners, officers, directors, employees, agents, contractors, licensors, and service providers from third-party claims, losses, liabilities, damages, and reasonable legal fees arising from your material breach of these Terms, violation of law or another person’s rights, or misuse of the Services or products.

We will provide reasonable notice of an indemnifiable claim. We may control its defense and settlement at your expense, but we will not agree to a settlement that imposes nonmonetary obligations on you without your reasonable consent. You agree to cooperate in the defense.

SECTION 19 — SEVERABILITY

If any provision of these Terms is found unlawful, void, or unenforceable, it will be enforced to the fullest extent permitted, and the unenforceable portion will be severed without affecting the remaining provisions.

SECTION 20 — WAIVER AND ENTIRE AGREEMENT

Our failure to enforce a provision is not a waiver of that provision or our right to enforce it later.

These Terms and the policies or rules incorporated by reference constitute the entire agreement between you and us concerning the Services and supersede prior or contemporaneous communications and proposals on that subject.

SECTION 21 — ASSIGNMENT

You may not transfer or assign these Terms or your rights or obligations under them without our prior written consent. We may transfer or assign these Terms and our rights and obligations as part of a merger, acquisition, reorganization, sale of assets, or other lawful business transfer, subject to applicable law.

SECTION 22 — GOVERNING LAW AND VENUE

These Terms and any separate agreement through which we provide Services are governed by the laws of the State of Indiana, without regard to conflict-of-law rules. Unless applicable law requires otherwise, you and Horseman’s Gravity Latch consent to the exclusive jurisdiction and venue of the state and federal courts located in Monroe County, Indiana.

Headings are included for convenience only and do not limit or affect these Terms.

SECTION 24 — CHANGES TO THESE TERMS

You may review the current version of these Terms on this page. We may update these Terms by posting a revised version to the website. When required by law, we will provide notice of material changes. Changes become effective on the date stated in the revised Terms. Continued use of the Services after the effective date constitutes acceptance of the revised Terms to the extent permitted by law.
